Applicable to any use of MonteurFlow.
These terms apply to any agreement between L Chain (Dutch Chamber of Commerce no. 42147983, VAT ID NL005534754B85), trading as MonteurFlow ("we", "MonteurFlow"), and the customer ("Customer") using the MonteurFlow application and/or related services.
1.1 These terms apply to all quotes, agreements and deliveries by MonteurFlow, unless agreed otherwise in writing.
1.2 By using MonteurFlow, Customer also agrees to the Privacy Policy and the Data Processing Agreement, which applies as soon as Customer enters, or has entered, personal data of third parties (including its own customers) into the application.
1.3 Customer enters into this agreement in the exercise of a profession or business. Consumer protection provisions, including the statutory reasonableness test for terms against consumers, do not apply.
2.1 MonteurFlow provides a web application for managing job sheets, customer scheduling, quotes and invoices, complemented by tailored setup and optimisation support ("Package 1: Job Sheet & Scheduling Automation") and/or a one-time setup of quote and invoice automation ("Package 2: Quote & Invoice Automation").
2.2 The exact scope, price and duration of the services are confirmed with each Customer in writing (or by email) before the start of the engagement.
2.3 MonteurFlow makes reasonable efforts to keep the application available and functioning, but does not guarantee uninterrupted availability. Planned maintenance will be announced in advance where reasonably possible.
3.1 Customers participating in the pilot programme may receive adjusted ("pilot") rates. These rates apply for the agreed period and may be revised by MonteurFlow afterwards, subject to at least 30 days' notice.
4.1 Prices exclude VAT unless stated otherwise.
4.2 Package 1 (ongoing service) is billed monthly at a rate between €750 and €1,500, depending on the scope of setup, payable in advance each month.
4.3 Package 2 (one-time setup) is billed as a one-time fee between €2,500 and €5,000, plus a monthly maintenance fee from the second month after delivery.
4.4 In case of late payment, Customer is automatically in default, and MonteurFlow is entitled to suspend access to the application after prior written notice of at least 14 days.
4.5 From the moment of default, Customer owes the statutory commercial interest rate on the outstanding amount, as well as extrajudicial collection costs in accordance with the Dutch Collection Costs Act (WIK).
5.1 Customer is responsible for the accuracy of the data entered into the application, including customer data, prices, VAT rates and company details.
5.2 Customer is responsible for lawfully processing personal data of its own customers entered into the application, in accordance with the GDPR. See the Data Processing Agreement.
5.3 Invoices created through MonteurFlow may be automatically emailed to Customer's end customer, if Customer has enabled this setting. Customer is responsible for verifying invoice details before enabling this setting.
5.4 Customer must not perform any actions that compromise the security, availability or integrity of the application.
6.1 Package 1 is entered into for an indefinite period, unless agreed otherwise in writing, and may be terminated by either party with one calendar month's notice.
6.2 Package 2 is a one-time project; after delivery, the ongoing maintenance fee applies, terminable with one calendar month's notice.
6.3 If Customer terminates the agreement for Package 2 before delivery has taken place, Customer owes MonteurFlow for the time spent up to that point, at a pre-agreed hourly rate agreed in writing, or, in the absence thereof, at a rate to be reasonably determined, up to a maximum of the agreed total price for Package 2.
6.4 Upon termination, Customer may export its data (via the existing UBL and CSV export feature) for 30 days after termination, after which MonteurFlow deletes the data in accordance with the Data Processing Agreement, unless a statutory retention obligation requires otherwise.
7.1 Payments made by Customer's end customers via iDEAL are processed through payment provider Mollie and paid out directly to Customer's bank account. MonteurFlow does not receive these payments and is not a party to the underlying transaction between Customer and its end customer.
7.2 Mollie transaction fees are for Customer's account, unless agreed otherwise.
8.1 MonteurFlow is not liable for damage resulting from incorrect or incomplete data entered by Customer, including incorrect VAT rates, company details or customer data.
8.2 MonteurFlow is not liable for outages at third parties it engages (including Supabase, Resend, Mollie, Moneybird, Netlify), to the extent these are beyond its reasonable control.
8.3 For Package 1, MonteurFlow's total liability towards Customer is limited to the amount Customer paid to MonteurFlow in the preceding 3 months, with a maximum of €5,000, except in cases of intent or gross negligence.
8.4 For Package 2, MonteurFlow's total liability towards Customer is limited to the amount Customer paid for Package 2 (the one-time fee, excluding the ongoing maintenance fee), with a maximum of €5,000, except in cases of intent or gross negligence. Where an ongoing maintenance fee also applies alongside Package 2, the limitation in Article 8.3 applies to damage related to that maintenance.
8.5 MonteurFlow is never liable for indirect damages, including consequential damages, lost profits or reputational damage.
All rights to the MonteurFlow application, including software, design and documentation, belong to L Chain. Customer receives only a right of use for the duration of the agreement.
MonteurFlow may amend these terms. Changes will be announced at least 30 days before taking effect. In case of material changes disadvantageous to Customer, Customer has the right to terminate the agreement early.
11.1 MonteurFlow is not obliged to fulfil any obligation if prevented from doing so as a result of force majeure. Force majeure includes in any case: an outage at a third party engaged by MonteurFlow (including Supabase, Resend, Mollie, Moneybird, Netlify), an internet or power outage, a DDoS attack, and government measures.
11.2 If the force majeure lasts longer than 30 days, either party is entitled to dissolve the agreement, without this giving rise to a right to compensation.
These terms and all agreements with MonteurFlow are governed by Dutch law. Disputes will be submitted to the competent court in the district where L Chain is established, unless mandatory law provides otherwise.
